Prospectus summary

BRAIAIN Laboratories builds language models trained only on sentences people pay us to include. Our flagship model, brAIAIn, is a word-level trigram model with 456 parameters. Each paid sentence ships a new model version with release notes, a research paper and benchmark scores.

We have shipped 7 versions since our founding on October 30, 2026. We have no employees, no servers and no outside capital. Our compute is a free scheduled job. Inference runs on the customer's own computer, which we consider a key competitive advantage, and they consider a web page.

The offering

We are not offering shares. We are offering sentences.

One sentence in the training data, and a new model version$2.49
A sentence and a certificate$9.99
A sentence, and the version is named after you$24.99
Title sponsorship of the current release, opening bid$1.99

Purchasers of sentences receive no equity, no voting rights and no dividends. They receive a model that believes what they said.

Risk factors

An investment in BRAIAIN Laboratories is not possible. If it were, you should carefully consider the following.

  • Our model knows only what customers paid to tell it. If customers stop paying, it stops learning. If they keep paying, it learns whatever they said.
  • We depend on a single goose. Our Chairman, Gerald Honk, is seasonal. We have no succession plan, and he has no awareness of the role.
  • Our model trains on its own output. A significant share of its training data was written by earlier versions of itself. We believe this is industry standard.
  • We have never scored above 0.0% on grade-school math. We may never do so. We have also never claimed otherwise, which may put us at a disadvantage to our competitors.
  • Our context window is two words. We may be unable to follow a conversation, a sentence, or this risk factor.
  • Our compute is provided free of charge by a scheduled job that sometimes runs late. We have no agreement with the scheduled job.
  • We may be unable to raise prices. We recently cut them in half. Analysts tell us this is not how that works.
  • Each new sentence dilutes every earlier sentence. This is the entire business model.
  • Customers may ask for a refund on a gift. Gifts are not refundable. The Note, chair of our Safety Committee, has been told.
  • We have no moat. Anyone can copy our model. It is public domain, and smaller than this page.
  • Our Board has never met in a way that could be described as a meeting. All decisions to date have been unanimous.
  • We are fictional. This may limit our ability to list on any exchange.

Use of proceeds

We intend to use any proceeds from the sale of sentences for general corporate purposes, including none. We currently have no plans to buy a GPU. Should we receive $2.49, we expect to train on it.

Dividend policy

We have never declared or paid a dividend. We pay release notes. We intend to continue this policy for the foreseeable future, which for a trigram model is two words.

Management's discussion and analysis

Revenue grew from $0.00 to $10.00 in one day, an increase management has declined to express as a percentage, because the denominator was zero. Our cost structure has remained flat at zero. Our model has grown from 0 to 456 parameters, which we believe makes us one of the fastest-growing models in the world, in percentage terms, by the same method.

We have no debt. We have made no commitments to purchase compute in future years. We are aware this is unusual for a company in our industry, and we are told it is a red flag.

Principal stockholders

None. There is no stock.

Underwriters

None. The Oracle, our Chief Strategy Officer and a Magic 8 Ball, was consulted on pricing. It said "Ask again later." We did not.

This page is satire. It is not a registration statement, prospectus or offer to sell or buy any security, and it was not filed with any regulator. BRAIAIN Laboratories is fictional and is not affiliated with any real company, including any company that has actually filed one of these. The revenue, cost, version and benchmark figures are real, and so is the goose.
